Welcome to https://classroomsolution.app/ and its related apps currently in Google Play and Apple Stores or any future website or apps ("Site"), owned exclusively by Smart Kidz Club, Inc. ("Company"). The Site provides access to electronic books (e-books) and resources that may provide entertaining and educational information to children at the same time. These Terms and Conditions ("Terms") govern your ("Your" or "You") use of and access, membership and/or subscription to the Site. By using, accessing, becoming a member of and/or subscribing to the Site, You agree to be bound by these Terms, our Privacy Policy and any other policy linked or incorporated into these Terms.

Before utilizing the Site, please read these Terms. As stated above, these documents shall govern Your use of, access, membership and/or subscription to the Site and any products and/or services provided to You. You may only use, access become a member and/or subscribe to this Site in accordance with these Terms. If You do not agree to be bound by these agreements, You may NOT access, use, become a member or subscribe to this Site and must exit this Site immediately. Your sole and exclusive remedy if You do not agree to be bound by these Terms is to not access and/or use this Site.

Company may change the content of the Site or these Terms at any time. Any changes made to these Terms shall be effective immediately upon posting. Your continued use of the Site constitutes acceptance of those changes.

YOU MUST BE OVER THE AGE OF 13

By accessing, using, becoming a Member (as defined below) of and/or subscribing to the Site, You warrant and represent that You are at least thirteen (13) years of age and have reviewed and agreed to be legally bound by these Terms. Individuals under the age of 13 are prohibited from (i) accessing and/or using the Site on their own and without the supervision, control and involvement of a parent and/or other legal guardian; (ii) becoming Members of the Site; and/or (iii) subscribing to the Site.

MEMBERSHIP OF THE SITE

You may elect to create an account with the Site, whereby You become a member ("Member") in order to participate in additional features of the Site including, without limitation, purchasing e-books and resources. There is currently no membership fee associated with becoming a Member of the Site. To become a Member, You may have to provide Company with certain information including, without limitation, Your name, zip code, email address and a unique password (collectively, "Membership Account"). In providing Your name and/or email address, You warrant and agree that You will not choose a name or email address which may mislead others to believe that You are someone else, or undertake any other action or communication that would tend to give the impression that You are another Member or are acting on his behalf. The Site reserves the right to prohibit or terminate Your Membership Account because of the use of Membership Account-related information that the Site, in its sole discretion, deems inadvisable.

You are responsible for maintaining the confidentiality of Your Membership Account information. You shall be responsible for all uses of the Membership Account on the Site, whether or not they are authorized by You. Notwithstanding the foregoing, You shall immediately notify the Company of any unauthorized use of Your Membership Account.

Without limitation, Company may cancel a Membership Account and/or other access to the Site at any time, for any or no reason.

SUBSCRIPTION TO THE SITE
Ongoing Subscription

Company may offer subscription service plans in which You pay a fee in exchange for obtaining access to the Site's collection of electronic books for the respective duration of time as set forth below in connection with each specific subscription service plan (the "Duration"). Importantly, Your subscription to any of the subscription service plans will continue for the Duration unless and until You cancel Your subscription, as set forth herein, or Company terminates it. You must have Internet Access and provide payment through the Payment Processor (as defined below) (which may require You to create an account) to use the subscription service plan. The Payment Processor will continue to bill the applicable subscription service plan fee on a recurring basis. You must cancel Your subscription through the Payment Processor in accordance with the Payment Processor's within the time period, as required by the Payment Processor's terms, in order to avoid billing the subscription service plan fee for the next Duration.

The availability of electronic books and resources on the Site's database in connection with the Subscription Service Plan (as defined below) will change from time to time. Company makes no warranties and/or representations that the electronic books and resources included on the Site's database when You first subscribed to the Subscription Service Plan will continue to be made available for the initial Duration or the Duration(s) thereafter. In addition, access and use of the electronic books and resources may be affected by a variety of factors, such as, without limitation, the speed of Your Internet connection. You are responsible for all Internet access charges. In addition, the Company software allowing You to access and use the electronic books and resources may vary by device and medium, and functionalities may also differ between devices. By subscribing to the Subscription Service Plan, You agree to look solely to the entity that manufactured and/or sold You the device for any issues related to the device and its compatibility with the Company service. If Your device is sold, lost or stolen, please deactivate the device. If You fail to log out or deactivate Your device, subsequent individuals may access the Company's services through Your account and may be able to access certain of Your account information.

Subscription Plans

Company may offer the Subscription Service Plan(s), as identified herein. Company reserves the right to modify, terminate or otherwise amend its offered Subscription Services Plan(s). In the event that Company terminates a subscription service plan prior to expiration of the Duration, Company will refund the pro-rated fee charged in connection with the Subscription Service Plan at-issue. Nothing herein shall be construed as obligating Company to provide a refund of the pro-rated fee where Company terminates Your subscription to a Subscription Service Plan for, without limitation, improper conduct and/or a violation of these Terms or other Company-implemented policies relating to the Site.

Currently, Company plans on offering the following subscription service plans:

Annual Subscription Service Plan. At a current standard rate of $150 in USA, You may subscribe to the annual subscription service plan in which You have access to the Site's collection of electronic books for the duration of twelve (12) months (the "Annual Subscription Service Plan"), commencing from the day You subscribe to the Annual Subscription Service Plan. By way of example, if You subscribe to the Annual Subscription Service Plan on April 15, 2020, the Annual Subscription Service Plan for the initial Duration will continue through April 14, 2021 and will renew automatically for the Duration, on a recurring basis, until and unless You cancel the subscription through the Payment Processor within the time required by the Payment Processor, as set forth in its terms.

Billing

Recurring Billing. By subscribing to the Subscription Service Plan, You authorize the Payment Processor to charge You a subscription fee at the then-current rate at the end of each Duration for the next Duration, on a recurring basis.

Price Changes. Company reserves the right to change the fee associated with the Subscription Service Plan at any time and as Company determines in its sole and absolute discretion by providing email notice to You. Any change to the Subscription Service Plan fee will be applicable to the next Duration. If You do not agree to such change to the Subscription Service Plan fee, You must cancel the subscription prior to the Payment Processor charging the fee and in accordance with the Payment Processor's terms. In addition, at any time and in Company's discretion, Company may offer promotions in connection with the Subscription Service Plan including, without limitation, charging fees less than the current standard rate listed in connection with the specific Subscription Service Plan below.

Billing Cycle. The fee in connection with the Subscription Service Plan to which You are subscribed will be billed at the start of each Duration and at the start of each Duration thereafter unless and until You cancel Your subscription as set forth herein. The Payment Processor will automatically bill You at the start of each Duration. Subscription Service Plan fees are fully earned upon payment. In the event the Duration began on a day not contained in a given month, the Payment Processor may bill You in accordance with the Payment Processor's terms and conditions which may include a policy in which it bills You on a day in the applicable Duration or such other day as it deems appropriate. By way of example, if your subscription to the Annual Subscription Service Plan began on January 31, 2020, Your next payment date is likely to be January 30, 2021, and the Payment Processor may bill You on that date.

No Refunds. FEES ARE NONREFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED DURATIONS except for the limited exception set forth above where Company terminates or cancels a particular Subscription Service Plan during the Duration. Following any cancellation to a Subscription Service Plan, however, You will continue to have access to the Site's collection of electronic books and resources through the end of the current Duration.

Payment Processor. The Site utilizes an independent, third party service provider for the processing of payments, as is made available through the Site (the "Payment Processor"). Currently, the Payment Processors are Stripe and Square. You are responsible for reviewing the terms and conditions of the Payment Processor including, without limitation, those relating to the time period by which You are required to cancel the recurring payment applicable to the Subscription Service Plan, the manner in which Payment Processor collects information about you, the manner in which the Payment Processor processes payments and Your duties and obligations to the Payment Processor. Any disputes or complaints with billing shall strictly be handled through the Payment Processor's complaint procedures. Without limitation, You acknowledge and agree that the Company has no obligation in this regard, and need not intercede in any such transaction on Your behalf. Moreover, You specifically release the Company and this Site from all liabilities and claims of loss resulting from any error or discrepancy in billing. You specifically release and waive any claim against the Company arising out of or otherwise related (whether directly or indirectly) to a dispute between You and the Payment Processor.

Cancellation. You may cancel Your subscription to the Subscription Service Plan at any time through the Payment Processor including by visiting your account with the Payment Processor and turning off auto-renew, or unsubscribing from, the Subscription Service Plan. IMPORTANTLY, THE TERMS IMPLEMENTED BY THE PAYMENT PROCESSOR WILL GOVERN THE TIME BY WHICH YOU MUST CANCEL YOUR SUBSCRIPTION SERVICE PLAN TO AVOID BEING CHARGED A RECURRING PAYMENT BY THE PAYMENT PROCESSOR. If You cancel Your subscription to the Subscription Service Plan, You will continue to have access to the Subscription Service Plan for the remainder of the current Duration. COMPANY DOES NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIALLY USED DURATIONS except for the limited exception set forth above where Company terminates or cancels a particular Subscription Service Plan during the Duration.

INTELLECTUAL PROPERTY

The Site and the materials contained in it including, without limitation, any text, data, images, graphics and/or other materials displayed on the Site (collectively, the "Content") are either the property of, or used with permission, by Company. Without limitation, the Site and Content are copyrighted by Company, its affiliates or its licensors. In addition, certain aspects of the Content including, without limitation, the trademarks, service marks, trade names and logos used and displayed on the Site are registered and unregistered trademarks of the Company and/or its affiliates. No aspect of the Site and/or Content may be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale or redistributed in any way without the prior written permission of Company. Any unauthorized use of the images may violate copyright laws, trademark laws and/or other proprietary rights.

SOFTWARE

You are hereby granted a limited, non-exclusive, non-transferrable, personal and fully-revocable license to utilize the underlying software solely for the purpose of accessing and using the electronic books (the "Software"). The Software is only for Your own personal, non-commercial use and not for use in the operation of a business, for profit or for the benefit of any other person or entity. The Software contains material that is protected by copyright and other applicable intellectual property laws in the United States and other territories and by international treaty provisions. You have no ownership rights in the Software and such ownership rights remain with the Company and/or its licensors.

The Company may issue You an upgraded Version of the Software to modify and/or expand the functionality of the Software automatically upon an instance of Your use of the Software. Alternatively, Company may require you to consent to an upgrade to the Software (the "Software Upgrades") before using, installing or accessing the Software. If You decline the Software Upgrades, You may not be able to use or access the Software or the Company's services. In addition, Your ability to use the Company service is subject to Your system's compatibility with the Software as such requirements may change from time to time. Compatibility of system requirements with the Software is Your responsibility.

The license provided to You herein in connection with the Software is effective until terminated. The license is terminable by Company at any time without notice. Without limitation, the license will terminate if Company finds out that You have violated any of these Terms. Upon termination of this license, You shall immediately cease all use of the Software and Company service.

COPYRIGHT INFRINGEMENT

If You believe that any Content violates Your or a third party's copyright, please provide written notice ("DMCA Notice") to Company as set forth herein or otherwise provided by the Digital Millennium Copyright Act, as it may be amended from time to time. The DMCA Notice must include (i) the signature of a person authorized to act on behalf of the owner of the copyright interest ("Copyright Owner"); (ii) a description of the copyrighted work that is believed to have been infringed upon; (iii) a description of precisely where the alleged infringing work is located on the Site; (iv) the Copyright Owner's mailing address, telephone number and email address; (v) a statement by the Copyright Owner that it has a good-faith belief that the disputed use is not authorized by the Copyright Owner, its agent, or the law, or is not otherwise being conducted by another authorized owner or licensee of the work; and (vi) a statement by the Copyright Owner, made under penalty of perjury, that the information set forth in the submitted written notice is accurate and that it is the Copyright Owner or is authorized to act on the Copyright Owner's behalf. The DMCA Notice should be immediately delivered to Company by certified mail return receipt requested or by commercial carrier at the address set forth below in the "Notices" provision and directed to the attention of the "Copyright Agent." You acknowledge and agree that Your failure to properly comply with the requirements of the law and/or this provision may make Your DMCA Notice invalid.

THIRD PARTY CONTENT/LINKED SITES

The Company takes no responsibility for the communications or information contained in any advertisement submitted by third parties on the Site ("Third Party Content"). The views expressed in any Third Party Content are merely those of the poster, advertiser and/or the respective Member and do not necessarily reflect the views of the Company or any person or entity affiliated with the Company. The Company has no obligation to screen or review in advance, nor is the Company responsible for screening, monitoring and/or reviewing Third Party Content.

In addition, You acknowledge and agree that Company has no responsibility for the accuracy or availability of information provided by websites to which the Site may be linked and/or referred or displayed on the Site ("Linked Sites"). Links to Linked Sites are provided as a convenience to You, and do not constitute an endorsement by or association with Company of such sites or the content, products, advertising or other materials presented on such sites. Company does not author, edit or monitor these Linked Sites. You acknowledge and agree that Company is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on such Linked Sites. If You access any Linked Sites, You do so at Your own risk.

RESTRICTIONS ON USE OF SITE

You may not use this Site for any unlawful purpose or in an unauthorized manner, or in a manner that violates the policies outlined in these Terms. Without limitation, You may not (a) publish, display, disclose, rent, lease, modify, loan, distribute or create derivative works from the Content and/or Software; (b) revise, modify, copy, decompile, reverse engineer, disassemble or in any way alter any portion of the Site, the Content, the Software or other underlying technology; (c) take any action that will infringe on the intellectual property or other proprietary rights of Company or any third part software provider; (d) restrict any other user from properly using the Site, including without limitation, by way of "computer hacking" or otherwise altering the Software or functionality of the Site and its underlying programs; (e) "frame" or "mirror" any part of the Site and/or place links to the Site on any other website; (f) utilize any device to enable You to circumvent the structure of the Site and/or spam or flood the Site; (g) collect any information about visitors, users and/or Members of the Site; (h) create a database utilizing any information found within the Site; (i) duplicate, create derivative work of or violate the copyright of this Site, except as specifically authorized in these Terms; (j) utilize any of the Company's trademarks as metatags on other websites or otherwise use the Company's trademarks for Your own advertising or pecuniary gain, including without limitation utilization as Google® AdWords; (k) remove, alter or amend any copyright or other proprietary notices from this Site; (l) circumvent any encryption or other security tools used anywhere on this Site (including but not limited to the theft of email addresses, usernames and passwords or using another person's email address, username and password in order to gain access to any area of this Site); (m) print or download any Content from the Site and, (n) shall not use any robot, spider or other intelligent agent software or device to access or monitor the Site in any manner.

CANCELLATION; TERMINATION; SUSPENSION; ABUSE OF THE SITE

Currently, You may cancel Your Membership Account at any time, by following the links to Customer Support and providing a notice of Your intent to cancel the Membership Account along with Your e-mail address on record. In the event that You cancel Your Membership Account, these Terms and the agreement created hereunder, including, without limitation, the grant of rights incorporated herein, will nevertheless remain in full force and effect. You may also cancel Your subscription to the Subscription Service Plan, as set forth above.

If, in Company's sole discretion, Company may restrict Your use or access to Company's services including, without limitation, Your subscription to the Service Subscription Plan, without compensation or notice to You, if Company suspects that You are (i) in violation of any of the Terms; or (ii) engaged in illegal or improper use of the service.

You further understand and agree that if Your Membership Account is suspended or terminated, You may not create a new Membership Account or use another Membership Account to avoid the restrictions or limitations.

SITE MAINTENANCE

From time to time the Site may undergo maintenance or become unavailable due to unforeseen reasons ("Down Time"). You acknowledge and agree that Company assumes no responsibility and shall not be liable for any loss or damage, including but not limited to loss of profits, anticipated revenue, savings or goodwill, or other economic loss arising out of or is in any way connected with the Down Time including, without limitation, any Down Time that occurs during the Duration in connection with any Subscription Service Plan(s).

PROTECTION OF CHILDREN

No one under the age of thirteen (13) years old is permitted to use the Site without the involvement of a parent or guardian. If You are a parent and believe Company may have inadvertently collected such information from Your child, please notify Company immediately by sending an email to admin[at]smartkidzclub.com. Moreover, You should be aware of the fact that parental control protections (such as computer hardware, software or filtering services) are commercially available that may assist You in limiting access to material that it considers to be harmful to minors. For convenience sake only, examples of some such protections are listed below. However, as otherwise set forth herein, Company does not accept any liability for the products and services provided by any third parties. Nor does the following listing constitute, in any way, an endorsement of these products by Company. Rather, it is being provided only as an example and for Your convenience.

Communications. COMPANY MAKES NO GUARANTEE OF CONFIDENTIALITY OR PRIVACY WITH REGARD TO ANY COMMUNICATION MADE BY OR THROUGH THE SITE. Company specifically reserves the right, and You hereby authorize Company, to monitor transmissions over the Site and its related networks for maintenance, service quality control assurance or any other purpose permitted by the Electronic Communications Privacy Act, 18 U.S.C. §2701, et. seq.

Notices. All notices or other communications to Company, if any, that are to be given under these Terms must be in writing, which shall be delivered to the address set forth below by way of either personal delivery, certified mail, return receipt requested, two-day mail or overnight mail by a commercial carrier. Notices to Company shall be deemed given only upon receipt. Notices to Company shall be addressed as set forth below unless it changes the address in writing by updating these Terms.

Notices to You shall be provided by Company via email or any other address which Company reasonably believes to be associated with You. Notice shall be deemed effective upon delivery of the same by Company. Moreover, and without limiting the foregoing, by using the Site, You acknowledge and agree that You are communicating with Company electronically, and consent to receive communications from Company electronically. Company may communicate, and provide effective notice to You, by sending You emails or by posting notices on the Site. You acknowledge and agree that all agreements, notices, disclosures and other communications that Company may provide to You electronically is effective; satisfies any legal requirement that such communication be in writing; and shall be deemed delivered to You.

INDEMNIFICATION. YOU AGREE TO INDEMNIFY, HOLD HARMLESS AND DEFEND COMPANY, ITS AFFILIATES, AND ANY MEMBERS, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS (COLLECTIVELY, "COMPANY PARTIES") OF ANY OF THE FOREGOING WITH RESPECT TO ANY CLAIM, DEMAND, CAUSE OF ACTION, DEBT, LIABILITY, DAMAGES, COSTS OR EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES AND EXPENSES OF THE COMPANY PARTIES' SELECTED ATTORNEY(S), DIRECTLY OR INDIRECTLY RELATING TO (I) YOUR INFRINGEMENT OF ANY INTELLECTUAL PROPERTY OF ANY PERSON OR ENTITY, INCLUDING WITHOUT LIMITATION, PATENTS, TRADE SECRETS, COPYRIGHTS, TRADEMARKS, SERVICE MARKS, TRADE NAMES OR SIMILAR PROPRIETARY RIGHTS; (II) ANY FAILURE BY YOU TO COMPLY WITH THESE TERMS; (III) YOUR USE OF THE SITE; (IV) A BREACH OF ANY REPRESENTATIONS, GUARANTEES, COVENANTS AND/OR WARRANTIES PROVIDED BY YOU TO ANOTHER MEMBER; AND/OR (V) ANY ACT OR OMISSION OR WILLFUL MISCONDUCT BY YOU THAT RESULTS IN A CLAIM FOR BREACH OF ANY REPRESENTATIONS, WARRANTIES OR COVENANTS MADE HEREIN AGAINST ANY OF THE COMPANY PARTIES.

DISCLAIMER. You explicitly agree that use of the Site is at Your own and sole risk. THE SITE AND ALL MATERIALS CONTAINED THEREIN ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. Company makes no warranty regarding any use or disclosure of confidential or private information You may provide. Company may change any of the Terms found on the Site at any time without notice. Company makes no commitment to update the information found on the Site. THE WARRANTIES AND REPRESENTATIONS SET FORTH IN THESE TERMS, IF ANY, ARE THE ONLY WARRANTIES AND REPRESENTATIONS WITH RESPECT TO YOUR USE OF THE SITE AND THE TRANSACTIONS CONDUCTED AS A RESULT OF YOUR USE OF THE SITE. LIMITATION OF LIABILITY. COMPANY ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF OR BROWSING IN THE SITE OR YOUR DOWNLOADING OF ANY CONTENT FROM THE SITE. EXCEPT WHERE SPECIFICALLY REQUIRED BY LAW, IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST SAVINGS), WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE PRODUCTS AND/OR SERVICES OFFERED ON THE SITE OR RESULTING FROM ACCESS AND/OR USE OF THE SITE OR RELANCE ON ANY INFORMATION PRESENTED ON OUR SITE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES TO SUCH PARTIES OR ANY OTHER PARTY.

Some states do not allow limitations of liability, so the foregoing limitation may not apply to You. Our liability in such case will be limited to the greatest extent permitted by law.

Attorneys' Fees. If Company or any of the Company Parties undertake any action to enforce these Terms, such party will be entitled to recover from You, and You hereby agree to pay, any and all attorneys' fees and any costs of litigation, in addition to any other relief at law or in equity to which such party may be entitled. In such event, Company shall be entitled to recover all costs including both actual pre-judgment and post-judgment attorneys' fees and costs, involved directly or indirectly in its enforcement efforts, whether or not it does so through institution of formal legal proceedings.

Cookies. Company specifically acknowledges and hereby notifies You that it may utilize "cookies" in connection with the operation of the Site. You agree that such cookies may be placed on Your computer, in connection with Your access to, and use of, the Site. Successors and Assigns. Whenever the term "Company" is used in connection with these Terms regarding its use with respect to a right, protection or benefit, it shall be construed to encompass Company, its related entities, successors, assigns, shareholders, officers, directors, members, officers, employees, attorneys and agents. Further, the term "You" used in connection with these Terms shall include your heirs, related entities, successors, assigns, shareholders, directors, officers, members, employees and agents.

Authorized Permission for Use. You shall be considered an entity if the individual accessing the Site is doing so on behalf of an entity or is utilizing that entity's computer system in connection with a task (either paid or unpaid) for that entity. If You are an entity, the person using the Site on its behalf hereby makes the material representation upon which You wish Company to rely that You are authorized to bind that entity to the Terms, as well as any other obligations imposed or undertaken through use of the Site.

Therefore, if any provision of these Terms are prohibited or otherwise unenforceable in a jurisdiction where it is being enforced, (a) it shall nevertheless be enforced to the fullest extent allowed by that prevailing law and (b) all other provisions of these Terms shall remain in full force and effect and shall not be invalidated or rendered unenforceable.

No Third Party Beneficiaries. These Terms are not intended to be for the benefit of, and shall not be enforceable by any unaffiliated third party, except as may be specifically provided herein. Nothing herein, express or implied, is intended to or shall confer on any third party any rights (including third party beneficiary rights), remedies, obligations or liabilities under or by reason of these Terms or otherwise set forth in the Site, except as may be specifically provided herein. These Terms shall not provide third parties with any remedy, claim, liability, reimbursement, cause of action or other right in excess of those existing without reference to the terms herein.

Prohibited by Law. Company does not represent that the Site or the Company's services and/or products are appropriate or available for use in any particular geographic location. You are accessing the Site on Your own initiative. In the event that any aspect of the Site or these Terms is prohibited by law in Your jurisdiction, You agree not to use the Site or any of the related products or services. Without limiting the foregoing, aspects of this Site may be subject to U.S. export controls and may not be downloaded, exported or re-exported: (a) into or to a national or resident of Cuba, Iran, North Korea, Sudan, Syria or any other country with respect to which the United States maintains trade sanctions prohibiting the shipment of goods (collectively, "Prohibited Countries"); or (b) to anyone who is on, or who may be acting on behalf of an entity that is on, the U.S. Treasury Department's list of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department's Denied Persons List or Entities List or otherwise included in General Order 3 (15 C.F.R. Part 736, Supplement 1), which prohibits exports to Mayrow General Trading, affiliated entities and persons and specified persons involved in the manufacture or sale of Improvised Explosive Devises (collectively, the "Lists of U.S. Prohibited Parties"). Without limitation, You acknowledge and agree that You shall comply with all applicable laws and regulations regarding the transmission of technical data from the United States or the country in which You may reside.

Miscellaneous. Company's failure to enforce any term, provision or condition of these Terms, including the breach or default thereof, by conduct, course of dealing or otherwise, in one or more instances shall not be deemed a waiver. You specifically acknowledge that You have not accepted these Terms on reliance of any representations or other promises of Company, which are not specifically included herein. You specifically stipulate that these Terms do not constitute a contract of adhesion. The gender terms in these Terms shall apply equally to either gender. The headings in these Terms shall have no force and effect. You acknowledge and agree that these Terms constitute the entire agreement of the parties hereto relating to the subject matter hereof, and any prior agreements, understandings, representatives and commitments concerning such subject matter, whether oral or written, are hereby superseded and terminated in their entirety and are of no further force or effect.

By Your use of the Site, You represent that You have had the opportunity to review these Terms with counsel of Your choosing, if You wished to do so. You further acknowledge that You have thoroughly read these Terms; understand that You are giving up certain legal rights that may otherwise exist; have asked any questions You desire to clarify its meaning; and believe it is in Your interest to nevertheless utilize the Site.
